Please read these Terms and Conditions carefully before using the NeuralDesk.io platform. By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of Terms
By creating an account, accessing, or using NeuralDesk services, you agree to these Terms and our Privacy Policy. If you are using the services on behalf of a company, you represent that you have authority to bind that company to these Terms.
2. Description of Services
NeuralDesk provides an AI Workforce Management Platform that enables businesses to deploy, manage, and monitor AI-powered employees. Services include AI workforce configuration, knowledge base management, workflow automation, and analytics capabilities.
3. Account Registration
To use our services, you must:
- Register for an account with accurate, complete information
- Maintain the security of your account credentials
- Notify us immediately of unauthorized account access
- Be at least 18 years of age or have parental consent
4. Permitted Use
You may use NeuralDesk services only for lawful business purposes and in compliance with all applicable laws. You agree not to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of third parties
- Transmit malicious code or interfere with service operations
- Use the platform to generate harmful, illegal, or deceptive content
- Attempt unauthorized access to any system or data
- Resell or sublicense the services without written permission
5. Intellectual Property
NeuralDesk and its licensors own all intellectual property rights in the platform, software, and related materials. You retain ownership of your data and content uploaded to the platform. You grant NeuralDesk a limited license to process your data to provide the services.
6. Payment Terms
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as specified in our Refund Policy. We reserve the right to modify pricing with 30 days notice. Failure to pay may result in service suspension.
7. Service Level Agreement
NeuralDesk commits to 99.9% monthly uptime for paid plans. In case of downtime below this threshold, eligible customers may receive service credits as outlined in their specific plan agreement.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared under this agreement and not to disclose it to third parties without prior written consent, subject to legal obligations.
9. Limitation of Liability
To the maximum extent permitted by law, NeuralDesk's total liability shall not exceed the fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
10. Termination
Either party may terminate this agreement with 30 days written notice. NeuralDesk may immediately suspend or terminate your account for material breach of these Terms. Upon termination, you may export your data for 30 days before deletion.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration.
12. Changes to Terms
We may modify these Terms with 30 days notice. Continued use of the services after the effective date constitutes acceptance of the updated Terms.
